These Terms of Service and Conditions of Use ("Terms") govern your access to and use of the websites EmbraceAmerica.com and EmbraceAmerica.org, the EmbraceAmerica.com directory, company listings, search/map features, Shopify store and integrations, affiliate links, payments, and all related services (collectively, the "Services") operated by Embrace America LLC ("Embrace America," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. These Terms form a legally binding agreement between you and Embrace America LLC.

1. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. To use certain features (e.g., company submissions or affiliate dashboard), you must provide accurate information. You are responsible for maintaining the confidentiality of your account credentials.

2. Directory Listings and User Content

• Free and Featured Listings: Companies may submit or claim listings (free basic or paid featured). We reserve the right to approve, edit, or remove any listing at our sole discretion. Featured listings are subject to payment terms below.
• User-Generated Content: You grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute any content you submit (e.g., company descriptions, claims). You represent that your content is accurate, non-infringing, and does not violate any laws.
• Accuracy Disclaimer: The directory aggregates public and user-submitted data. We do not verify every detail and provide the Services "as is." We make no warranties about the accuracy, completeness, or reliability of any company information, products, or availability.

3. Payments and Featured Listings

Paid featured listings are processed via third-party providers (e.g., Stripe or other providers we may choose). You authorize us to charge the provided payment method. Subscriptions or one-time fees are non-refundable except as required by law. We may change pricing with notice.

4. Affiliate Partnerships and Links

Some outbound links to company websites or products use affiliate tracking. We may earn commissions on qualifying purchases made through these links (at no extra cost to you). We disclose this in accordance with FTC guidelines. See our Privacy Policy for more details on tracking.

5. Prohibited Conduct

You agree not to:

• Submit false, misleading, or infringing content.
• Attempt to manipulate search results, spam, or engage in fraudulent activity.
• Use the Services for illegal purposes or to harass others.
• Reverse-engineer, scrape, or interfere with the Services.
• Violate any applicable laws, including those related to "Made in America" claims or advertising.

We may suspend or terminate your access for violations.

6. Intellectual Property

All content on the Services (except user-submitted listings) is owned by or licensed to Embrace America LLC. You may not copy, modify, or distribute it without permission. Company logos and trademarks remain the property of their owners.

7. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBRACE AMERICA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM (OR $100 IF NO PAYMENT WAS MADE).

8. Indemnification

You agree to indemnify, defend, and hold harmless Embrace America LLC, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms.

9. Termination

We may terminate or suspend your access at any time, with or without cause. Upon termination, your right to use the Services ceases, but these Terms survive.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida and applicable federal US laws, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Florida. You waive any right to jury trial.

11. Changes to These Terms

We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be notified via email or prominent notice on the Sites.

12. Miscellaneous

These Terms constitute the entire agreement between you and us. If any provision is held invalid, the remainder remains in effect. No waiver of any breach constitutes a waiver of any other breach.
